Article 3. Rights and obligations of Party A

3.1. Party A’s rights:

• Request Party B to perform the agreed legal services;
• Unilaterally terminate the Legal Service Agreement and request Party B to compensate for the actual damage if Party B seriously violates the agreed obligations..

3.2. Party A’s obligations:

• Ensure that the information and documents provided by Party A to Party B are true;
• Pay service fees and expenses to Party B as agreed in Article 2 of this Legal Service Agreement.
• Timely provide the necessary information, documents and means for Party B to perform the work.
• Pay service fees and expenses as agreed in Article 2 of this Legal Service Agreement and compensate for actual damage caused to Party B if Party A unilaterally terminates the contract illegally.

Article 4. Rights and obligations of Party B

4.1. Party B’s rights:

• Request Party A to pay service fees and expenses as agreed.
• Request Party A to provide the necessary information, documents, evidences and means to perform the work.
• Request Party A to pay service fees, expenses and compensate for actual damage that occurs to Party B if Party A unilaterally terminates the contract illegally.

4.2. Party B’s obligations:

• Do not assign other organisations or individuals to perform the work without the written consent of Party A.

Article 5. Validity term

• The Legal Service Agreement will continue to be in full force and effect until one of the following events occurs, whichever is earlier: (a) Party B completes the service requested by Party A, or (b) ) terminated by Party A and Party B. The Term may be extended for another period of time by agreement between the Parties.

Article 6. General terms and conditions

• Party B provides the legal services not only according to the provisions stated in this Legal Service Contract but also according to the [.General Policy of Law Firm..] of Party B which is attached, and is considered an integral part of this Legal Service Agreement and is in effect at the same time as the Legal Services Agreement.
• In the event of any discrepancy between any provision of this Legal Service Agreement and the similar term(s) in [General Policy of Law Firm] of Party B, the respective terms of the Legal Service Agreement shall prevail.

Article 7. Other terms

• The two parties commit to strictly implement the Legal Service Agreement, the terms not in the agreement are implemented in accordance with the laws referred to in this Legal Service Agreement and the guiding documents of those laws.
• If any provision of this Legal Services Agreement is unenforceable in whole or in part for any reason, the remainder of the Legal Services Agreement shall be severable and remain the same
• This Legal Services Agreement may be modified by agreement of the parties in writing signed by the parties or orally to the extent that the parties perform such agreement.
• If there is a dispute about the Legal Service Agreement, the parties will negotiate to reach an agreement. If no agreement is reached, one of the parties has the right to initiate a lawsuit in accordance with the law.
• The Legal Service Agreement is made in 04 copies, the contents and legal validity are the same, each party keeps 02 copies.
